Bosnia and Herzegovina – more about the country

Bosnia and Herzegovina is a sovereign state in Southeastern Europe, in the western Balkan Peninsula. Its political structure is a parliamentary republic, consisting of three so-called «entities»—the Federation of Bosnia and Herzegovina, the Republika Srpska, and the Brčko District.

Bosnia received its current name and constitutional structure following the Bosnian War, as agreed upon in the 1995 Dayton Accords. Since then, it has effectively been two (two and one-tenth, to be precise) countries within the borders of one. The Federation of Bosnia and Herzegovina (fBiH) and the Republika Srpska (RS) have different laws, different administrations, and separate capitals—Sarajevo is the capital of the Federation, and Banja Luka is the capital of the Republika Srpska.

On December 15, 2022, Bosnia and Herzegovina was granted candidate status for EU membership, and since then, the slow and sluggish process of implementing EU legislation has continued. However, the sad truth is that the EU is using Bosnia for its grey financial operations (read: money laundering) and is therefore in no hurry to declare Bosnia a member. However, the progressive development of infrastructure, the construction of roads and facilities funded by the EU, leave no doubt that Bosnia’s accession to the EU will be announced sooner or later. Bosnians themselves predict that this accession will not happen before 2030.

International financial institutions are expanding their support for the digitalization and modernization of small and medium-sized businesses, which can improve their competitiveness and spur innovation. High bureaucracy, a complex multi-layered administrative system, and a fragmented economic space make it difficult to start and run a business, obtain permits, and access infrastructure. This complex set of obstacles is reflected in international rankings, where the country is traditionally ranked among the «difficult» countries for starting a business. In Bosnia and Herzegovina, company registration, as well as any changes, is handled by the court. The court reviews the submitted documents and issues a decision on registration (or denies registration in the event of errors or inaccurate information).

Company registration as a D.O.O. typically takes 10 to 20 days, depending on the court’s workload. A certified set of registration documents must be submitted to the court, along with a certified translation of the passports of the director and all founders, along with documents confirming payment of the authorized capital (usually the minimum authorized capital is 1,000 BAM or ~550 EUR). When we provide company registration services, we commit to a guaranteed result.

The complete set of documents for registering a D.O.O. company in Bosnia looks like this:

• Registration application, with certified signatures and a translation (if the applicant is a foreigner);
• Customized company charter;
• Memorandum of Association or Resolution on Incorporation (if there is a sole founder);
• Completed forms 3 and 5;
• Evidence sheets according to sample 2, with appendices 1, 2, 3, 6, and 7;
• Newspaper announcement (Official Glasnik) of the new company’s registration;
• Director’s consent to assume office, with certified signatures and a translation;
• Founder’s declaration of absence from the database of companies in bankruptcy;
• Founder’s declaration of absence of shares in other companies in Bosnia;
• Certified copies of the director’s and founder’s passports;
• Signature cards (certified and with a translation) of the director and founder according to sample OP;
• Bank confirmation of payment of authorized capital;
• Application form confirming compliance with the conditions set forth for the selected economic codes;
• Court fees.

The documents are submitted to the court in two forms simultaneously: the originals and the digital signature through the court portal. It’s also important to keep in mind that when registering a company, many specific nuances must be observed that are unknown to the general public but should be taken into account by specialists.

There’s also a complex part of the post-registration process: Obtaining a Taxpayer Identification Number (TIN) from the tax authority;
Obtaining a Statistics Decision from the Statistics Authority.

Although all this may seem impressive and complicated, we handle all the bureaucracy and leave you with only the minimum hassle.

2. The exact residential address of the founder and/or director in written form;
